IMPORTANT—MANDATORY ARBITRATION & CLASS ACTION WAIVER: THESE TERMS REQUIRE ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. THIS MEANS YOU AND RECOVER AND THRIVE HEALTH SERVICES ARE WAIVING THE RIGHT TO SUE IN COURT OR TO PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS, EXCEPT AS NOTED BELOW.

Welcome to the websites, patient portals, and online services provided by Recover and Thrive Health Services, Inc. and its affiliates (“Recover and Thrive,” “we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your access to and use of our websites at www.recoverandthrivehealthservices.com and any subdomains, mobile sites, online forms, and related content or functionality (collectively, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

If you opt in to text messages, you consent to receive recurring SMS related to scheduling, reminders, updates, and one‑time passcodes. Message frequency varies; message/data rates may apply. You may opt out by replying “STOP”; for help, reply “HELP”. Some messages may contain limited health‑related details (e.g., appointment date/time/provider). We implement safeguards and honor your preferences, but texting involves risks of inadvertent access.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECOVER AND THRIVE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID (IF ANY) FOR ACCESSING THE SITE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Recover and Thrive, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another.

14. Governing Law; Venue

These Terms and any disputes are governed by the laws of the State of Tennessee, without regard to conflict‑of‑law principles, and by applicable federal law. Subject to Section 15 (Arbitration), the exclusive venue for permitted court actions is the state or federal courts located in Dickson County, TN.

15. Arbitration; Class‑Action Waiver

Agreement to Arbitrate. Any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by binding arbitration on an individual basis, administered by [arbitration administrator, e.g., AAA] under its applicable rules, and held in Dickson, TN. The arbitrator may award relief available in court subject to these Terms.

No Class Actions or Representative Claims. You and Recover and Thrive agree to bring claims only in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate claims of multiple parties.

Exceptions. Either party may bring claims in small‑claims court, seek injunctive or equitable relief in court to protect intellectual property or confidential information, or pursue administrative remedies with government agencies.

Opt‑Out. You may opt out of arbitration by sending written notice to info@recoverandthrivehealthservices.com within 30 days after first agreeing to these Terms.

16. International Use

We control and operate the Site from the United States. We make no representation that the Site is appropriate or available for use in other locations. Access from territories where content or use is illegal is prohibited. Users who access the Site from outside the U.S. do so at their own risk and are responsible for compliance with local laws.

17. Changes to the Site or These Terms

We may update the Site and these Terms at any time. If we make material changes, we will update the “Last Updated” date and, where appropriate, provide additional notice (e.g., on the Site). Continued use of the Site after changes means you accept the updated Terms.

18. Termination

We may suspend or terminate your access to the Site, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (e.g., IP, disclaimers, limitations, arbitration) will survive.
